ENVIRONMENTAL DUE DILIGENCE IN THE PRIVATISATION PROCESS OF EGF

- The objective of this Environmental Due Diligence (EDD) was to assist SUMA, S.A. in the preparation of its binding offer by determining and assessing the existing and potential environmental risks associated with the acquisition of EGF, S.A. The analysis carried out in this EDD was focused on the five largest subsidiaries - VALORSUL, AMARSUL, ALGAR, RESINORTE and ERSUC (representing more than 70% of the population and the waste treated by EGF, S.A.), while taking into account other systems, seeking to determine the greatest number of environmental risks in the universe of EGF, S.A.

In order to determine the main aspects that could potentially generate environmental risks, the method applied consisted, in general, in the analysis and verification of the available information. In addition to this approach, whenever needed, a verification was carried out based on other information, either provided by the seller or obtained by the team, given the knowledge on the different subjects. The analysis was divided into two phases:
   • Permits and authorisations, with a status analysis of the different documents;
   • Environmental performance, which was measured for the infrastructure analysed based on the following subjects: Available capacity, effluent management and treatment, degradation of the environmental quality of surface and groundwater bodies, atmospheric emissions, noise, pollution accidents, claims and complaints, and notices of violation.
